- [F1]The Reporting Person became entitled to receive these restricted stock units corresponding to notional shares of common stock of the Issuer under the Issuer's 2009 Long-Term Equity Incentive Plan ("RSUs") pursuant to the terms of the Second Amended and Restated Agreement and Plan of Merger (the "Merger Agreement"), dated as of February 6, 2009, among the Issuer, Walter Investment Management LLC ("WIM LLC"), a Delaware limited liability company, Walter Industries, Inc., a Delaware corporation ("Walter") and JWH Holding Company, LLC, a Delaware limited liability company, as amended February 17, 2009. In accordance with the procedures and formulas set forth in the Merger Agreement, the Reporting Person elected to convert his restricted stock units corresponding to notional shares of common stock of Walter into substantially equivalent RSUs.
- [F2]The number of RSUs (and the number of shares of common stock underlying the RSUs) became fixed on May 4, 2009, upon the Issuer's receipt from Walter of information regarding pre-merger adjustments to the Walter restricted stock units required by Walter's equity incentive plans.
