- [F1]On June 19, 2009, Tinicum Capital Partners II, L.P. ("TCP") and Tinicum Capital Partners II Parallel Fund, L.P. ("TCPP") purchased an aggregate of 30,000 shares of Common Stock on the NYSEAmex. TCP purchased 29,845 shares of Common Stock at a purchase price of $6.00 per share and TCPP purchased 155 shares of Common Stock at a purchase price of $6.00 per share. Subsequent to the June 19, 2009 purchase, TCP owned 2,498,475 shares of Common Stock and TCPP owned 13,092 shares of Common Stock.
- [F2]Because TCP and TCPP may be deemed to be under common control, each may be deemed to beneficially own the shares of Common Stock beneficially owned by the other, although TCP and TCPP disclaim such beneficial ownership. If TCP and TCPP are deemed to beneficially own shares of Common Stock held by the other, TCP and TCPP would own 2,511,567 shares of Common Stock in aggregate. Pursuant to Rule 16a-1(4) of the Securities Exchange Act of 1934, as amended (the "Act"), TCP states that this filing shall not be deemed an admission that TCP is, for purposes of Section 16 of the Act or otherwise, the beneficial owner of the shares of Common Stock owned owned by TCPP.
