- [F1]The Restricted Performance Shares vest based on the Company's return on equity for the period that begins on July 15, 2009 and ends on July 15, 2012 (the "performance period") as follows: (a) if the Company's return on equity for the performance period equals or exceeds the 75th percentile of the return on equity of the members of the S&P 500 Oil & Gas Equipment and Services Index, then the Restricted Performance Shares will fully vest; (b) if the Company's return on equity for the performance period is less than the 75th percentile of the measure described above but equal to or more than the 50th percentile, then fifty-percent (50%) of the Restricted Performance Shares will vest, plus a straight line pro rata amount between the 50th percentile and the 75th percentile; and (c) if the Company's return on equity for the performance period is less than the 50th percentile of the measure described above, the Restricted Performance Shares will not vest.
