Each share of non-voting common stock of Merger Sub issued to the Reporting Persons pursuant to the Exchange and Rollover Agreement was converted into and became one share of Common Stock of the Issuer pursuant to the terms of that certain Agreement and Plan of Merger, by and among the Issuer, Merger Sub and ComVest NationsHealth Holdings, LLC.
