- [F1]On December 12, 2008, the reporting person was granted an option that was to vest and become exercisable 1/36th monthly, commencing on the date of entry (the "Date of Entry") by the Company into a definitive collaboration agreement with a third party, with 100% of such Performance Vesting Option fully vested on the three-year anniversary of the Date of Entry, subject, however, to the reporting person's continuing provision of service to the issuer on such vesting dates. On August 27, 2009, the issuer entered into an agreement that fufilled the terms of the collaborative transaction (such date constituting the Date of Entry for purposes of the commencement of the vesting period for the above-referenced Performance Vesting Option).
