MRMC indirectly owns 5,184,817 common units of the issuer through its wholly-owned subsidiary, Martin Resource LLC ("Resource"). Subordinated units held by Resource converted into common units on November 14, 2009 in accordance with the issuer's First Amended and Restated Agreement of Limited Partnership. After the conversion, Resource's ownership increased to 5,184,817 common units. As a result of Mr. Martin's relationship with MRMC and Resource, Mr. Martin may be deemed the beneficial owner of such common units.
