- [F1]On December 4, 2009, the reporting person entered into a Contribution and Assumption Agreement (the "Contribution Agreement") with Terra LP Holdings LLC ("LP Holdings"), a Delaware limited liability company and a wholly owned subsidiary of the reporting person. Pursuant to the Contribution Agreement, the reporting person contributed 4,732,621 Common Units to LP Holdings. The contribution by the reporting person to LP Holdings was made as a contribution to LP Holdings' capital and effected only a change in the form of the reporting person's beneficial ownership of the common units now owned directly by LP Holdings without changing the reporting person's pecuniary interest in such common units. The contribution is exempt from Section 16 of the Securities Exchange Act of 1934 pursuant to Rule 16a-13 promulgated thereunder.
