- [F1]On January 4, 2010, the Deshpande Irrevocable Trust (the "Trust") transferred 293,750 shares of Common Stock to Sparta Group MA LLC Series 4 (the "LLC") in exchange for a percentage membership interest in the LLC. Laurie J. Hall serves as special trustee and exercises sole voting and investment power with respect to the shares of Common Stock held in the Trust.
- [F2]All share numbers in this report reflect the number of shares of Common Stock held by such person following the implementation of the previously announced 1-for-10 reverse stock split of the Company's Common Stock, which became effective at 5:00 p.m., Eastern Time, on December 21, 2009. Under the terms of the reverse stock split, every ten shares of the Company's issued and outstanding Common Stock immediately prior to the effective time were combined into one share of Common Stock. No fractional shares were issued as a result of the reverse stock split.

The Trust, Mr. Deshpande and other entities through which Mr. Deshpande may be deemed to have a pecuniary interest hold membership interests in the LLC. Mr. Deshpande disclaims beneficial ownership of the shares of Common Stock held by the LLC except to the extent of his pecuniary interest therein.
- [F4]Held by the Gururaj Deshpande Grantor Retained Annuity Trust (the "GRAT"). Mr. Deshpande's spouse serves as the trustee of the GRAT and exercises sole voting and investment power over the shares of Common Stock held therein. Mr. Deshpande disclaims beneficial ownership of the shares of Common Stock held by the GRAT except to the extent of his pecuniary interest therein.
