- [F1]On April 19, 2010 Lodgian, Inc. was acquired by LSREF Lodging Investments, LLC with LSREF paying $2.50 for each share of Lodgian common stock outstanding (the Merger). Dispositions by reporting person in the Merger were approved in advance by the Lodgian board of directors. The Merger is more fully described in the Lodgian Proxy Statement initially filed with the SEC on March 5, 2010.
- [F2]In connection with the terms of the Merger, vesting was accelerated as to 2,344 shares of restricted stock held by reporting person and converted into the $2.50 per share merger consideration.
- [F3]Shares held by New Project, LLC, of which Mr. Allen is a minority owner. Mr. Allen disclaims beneficial ownership of these securities except to the extent of his pecuniary interest therein, and the inclusion of these shares in this report shall not be deemed an admission of beneficial ownership of all the reported shares for purposes of Section 16 or for any other purpose.
