Schulman"), which became effective on April 30, 2010 (the "Effective Date"). In accordance with the terms of the Agreement and Plan of Merger between A. Schulman, ICO and Wildcat-Spider, LLC, as of the Effective Date, the Reporting Person received a combination of approximately $3.64 in cash and .181816 shares of A. Schulman common stock for each share of ICO common stock beneficially owned.
