On that date, the Company granted Mr. English an option to purchase 1,047,090 shares of the Company's common stock pursuant to the Company's 2010 Stock Option Plan (the "Plan"), at an exercise price of $0.27 per share. The grant was exempt under Rule 16b-3. The option vests in installments of 130,936 on January 1, 2011, 130,936 on May 1, 2011, 130,936 on August 1, 2011, 130,937 on November 1, 2011, 130,936 on February 1, 2013, 130,936 on May 1, 2013, 130,936 on August 1, 2013, and 130,937 on November 1, 2013. The option grant and the Plan are subject to approval by the Company's stockholders at the Company's Annual Meeting to be held on December 22, 2010.
