The RSUs represent a pro-rata amount (the "Pro-Rata Amount") of the $30,000 Annual Equity Retainer (as defined in the Policy) for the remaining 341 days of service in the calendar year 2011 beginning on January 25, 2011. The Pro-Rata Amount of $28,027.40 is obtained by multiplying $30,000 by 341/365.
