- [F1]On November 23, 2010 Mr. Galvis surrendered 1,000,000 shares of Common Stock of NYTEX Energy Holdings, Inc. (the "Company") to the Company in connection with the acquisition of Francis Drilling Fluids, Ltd. ("FDF") and related transactions as more particularly set forth in the Company's Form 8-K filed November 30, 2010.
- [F2]On November 23, 2010 Mr. Galvis and FDF executed an employment agreement by which Mr. Galvis agreed to serve as Chairman of FDF. Upon execution of the employment agreement, Mr. Galvis was granted 50,000 shares of Common Stock of the Company.
- [F3]On November 1, 2010 the Company effectuated a 1 for 2 reverse stock split of its then issued and outstanding shares of Common Stock. Mr. Galvis' 20,000,000 shares of Common Stock became 10,000,000 shares post reverse stock split. With the surrender of 1,000,000 shares of Common Stock to the Company and the 50,000 shares granted per the FDF contract, as described above, Mr. Galvis now beneficially owns 9,050,000 shares of Common Stock
