- [F1]Represents shares of common stock underlying restricted stock units (the "RSUs") issued on April 5, 2011, pursuant to the Issuer's Non-Employee Director Compensation Policy (the "Policy"). The RSUs were issued to the Reporting Person in lieu of 50% of the pro-rata amount (the "Pro-Rata Amount") of the $30,000 Annual Cash Retainer (as defined in the Policy) for the remaining three quarters of service in the 2011 calendar year, which is equal to $11,250. The total number of shares of common stock underlying the RSUs is a result of dividing the Pro-Rata Amount by the closing price of the Issuer's common stock on the date of issue, rounded down to the nearest whole number.
