- [F1]On April 25, 2011, the Issuer granted the reporting person 4,528 restricted stock units (RSUs) under the Amended and Restated Air Lease Corporation 2010 Equity Incentive Plan, in connection with his service as a member of the board of directors of the Issuer. Each RSU represents a contingent right to receive one share of the Issuer's Class A Common Stock. Subject to certain conditions, all of these RSUs will vest in full on April 25, 2012, the first anniversary of the grant date.
- [F2]These shares of Class A Common Stock are held by Genefinance S.A. ("Genefinance"). Genefinance is a wholly-owned subsidiary of Societe Generale S.A. ("Societe Generale"). As a member of an executive committee of Societe Generale, the reporting person may be deemed to be the beneficial owner of these shares of Class A Common Stock held by Genefinance. The reporting person expressly disclaims beneficial ownership of these shares of Class A Common Stock, except to the extent of his pecuniary interest therein, and the inclusion of these shares in this report shall not be deemed to be an admission of beneficial ownership of the reported shares for purposes of Section 16 or for any other purpose.
