- [F1]In connection with the exercise of an employee stock option previously reported by Mr. Koch on his original Form 4 filed May 24, 2011, an additional 3,167 shares of common stock were withheld by the issuer to satisfy Mr. Koch's payroll tax withholding obligations. The additional number of shares withheld resulted from the issuer's final computation of Mr. Koch's payroll tax withholding obligations. Such withholding is treated as a disposition of securities under Section 16 of the Securities Exchange Act of 1934, as amended. After filing the original Form 4 on May 24, 2011, Mr. Koch filed one additional Form 4 on May 31, 2011, which also included the 3,167 shares as beneficially owned.
