The additional number of shares withheld resulted from the issuer's final computation of Mr. Koch's payroll tax withholding obligations. Such withholding is treated as a disposition of securities under Section 16 of the Securities Exchange Act of 1934, as amended. After filing the original Form 4 on May 24, 2011, Mr. Koch filed one additional Form 4 on May 31, 2011, which also included the 3,167 shares as beneficially owned.
