("Marina") entered into a Transfer and Sale Agreement with Marina and the Reporting Person pursuant to which they agreed to transfer a total of 116,253 shares of Marina Common Stock that they had received as merger consideration in connection with the merger of Cequent Pharmacueticals, Inc. ("Cequent") with and into Marina to the reporting person as consideration for services rendered by the Reporting person to Cequent. On August 15, 2011, pursuant to the Transfer and Sale Agreement, the shares were transferred to the Reporting Person and on August 16, 2011, 40,200 shares were sold to cover the Reporting Person's tax obligations, which sale is reported on this Form 4.
