- [F1]On September 23, 2011, Mr. Wilson acquired 596,804 newly issued shares of the common stock of Magellan Petroleum Corporation ("Company"), $0.01 par value ("Shares"), pursuant to the Purchase and Sale Agreement between the Company and the members of Nautilus Technical Group LLC ("Nautilus Tech") and Eastern Rider LLC ("ER"). Pursuant to the agreement, the Company acquired all of the membership interests of Nautilus Tech and ER for $4 million, Shares valued at approximately $1.7 million and the potential for certain production payments. Mr. Wilson was a member of Nautilus Tech and the sole member of ER.
