- [F1]Pursuant to an Agreement and Plan of Merger, dated November 20, 2011, by and among the Transatlantic Holdings, Inc. ("TRH"), Alleghany Corporation ("Alleghany") and Shoreline Merger Sub, Inc. (formerly, Shoreline Merger Sub, LLC) (the "Merger Agreement"), at the Effective Time (as defined in the Merger Agreement), each outstanding option was converted into the right to receive cash in an amount equal to the applicable Black-Scholes Amount (as defined in the Merger Agreement) multiplied by the number of shares of TRH common stock subject to such option, less required income or employment tax withholding.
