In accordance with the terms of the RPM International Inc. 2003 Restricted Stock Plan for Directors (the "Plan") the 10,500 shares of Common Stock held by the reporting person under the Plan vested and 2,625 shares of Common Stock were disposed of back to the Issuer to satisfy tax obligations of the reporting person.
