- [F1]UANT Ventures, L.P. ("Ventures") holds shares of the common stock of USMD Holdings, Inc. ("USMD"). Dr. Tran is a limited partner in Ventures and, consequently, is the indirect beneficial owner of his proportionate share of such shares. Certain partners of Ventures, including Dr. Tran, previously contributed additional capital to the partnership (or its predecessors) for which they did not, at that time, receive additional equity interests. The partners of Ventures have agreed to reallocate the partnership interests in Ventures in recognition of such additional contributions. As a result of this reallocation, on October 1, 2013, Dr. Tran received additional partnership interests in Ventures, which increased his indirect beneficial ownership of USMD common stock as indicated in Table 1.
