Pursuant to the merger, common units of the Issuer held by the reporting person were converted into 3,340 shares of PXD common stock. The common units disposed of includes 12,076 common units underlying awards of phantom units of the Issuer that, by virtue of the merger, were converted into awards of 2,807 restricted stock units of PXD common stock. On December 17, 2013, the closing price of Issuer common units was $42.50 and the closing price of shares of PXD common stock was $182.43.
