- [F1]Pursuant to the Agreement and Plan of Merger (the "Agreement") by and among Chiesi Farmaceutici S.p.A., Chiesi U.S. Corporation, and Cornerstone Therapeutics Inc., dated as of September 15, 2013, on the effective date of the merger contemplated by the Agreement (the "Merger"), this option, which was fully vested, was cancelled in exchange for a cash payment equal to the product of (i) the excess of $9.50 over the exercise price per share of the option and (ii) the total number of shares underlying the option.
