The performance share unit award provides for payment in the Company's common stock in an amount ranging from 0% to 171% of the performance share units awarded. The amount of common stock earned by each participant at the end of the three year period ending December 31, 2016, shall be strictly a function of the market price of the Company's common shares as reported by the NASDAQ market during the year 2016 (unless a change of control of the Company occurs during the performance period, in which case the performance period will conclude on the date of the change of control and the performance criteria will be measured as of such date based on the share price as the time of the change of control).
