As a result of the conversion on February 17, 2010 of certain notes issued by XRS Corporation (f/d/b/a Xata Corporation), a change in control was deemed to have occurred for purposes of the restricted stock unit award agreements, resulting in the immediate vesting and settlement of the units scheduled to vest on February 4, 2011 and the immediate settlement of units previously vested on February 4, 2010. Finally, in accordance with the restricted stock award agreements, the remaining units, which vested on February 4, 2012, settled on the five-year anniversary of the date of grant, February 4, 2014.
