Barry Corporation's Amended and Restated Deferral Plan, recipients of restricted stock unit awards may elect to defer the receipt of common shares that otherwise would be received by the recipient upon the vesting of his or her restricted stock units until the director's separation from service as a director. Each deferred restricted stock unit represents a contingent right to receive one common share plus accrued but unpaid dividends on the unit.
