- [F1]The operating partnership units ("OP Units") represent units of limited partnership interests in Landmark Apartment Trust of America Holdings, LP (the "Operating Partnership"), of which the issuer is the general partner. The OP Units have the rights and preferences as set forth in the partnership agreement of the Operating Partnership and will, following a 12-month holding period, become redeemable, subject to certain limitations, in exchange for either (i) shares of common stock of the issuer on a one-for-one basis or (ii) a cash amount equal to the product of (A) the number of redeemed OP Units, multiplied by (B) the "cash amount" (as defined in the partnership agreement of the Operating Partnership), provided, however, if the common stock of the issuer has not become listed or admitted to trading on any national securities exchange at the time of the redemption, the cash amount, notwithstanding anything to the contrary, shall be $8.15 per redeemed OP Unit.
- [F2]On May 22, 2014, certain entities in which entities affiliated with Mr. Kobel had an equity interest commenced a series of distributions to the limited liability company members or limited partners, as applicable, thereof, including to entities affiliated with Mr. Kobel and other entities that are unaffiliated with Mr. Kobel. Such distributions to unaffiliated third party investors resulted in a change in the aggregate number of OP Units deemed beneficially owned by Mr. Kobel.

- [F4]The reporting person's Form 4 filed on March 21, 2014 incorrectly reported that he was the indirect, beneficial owner of (i) 57,433 OP Units held directly by DOF I Waverly LLC; (ii) 128,180 OP Units held directly by DOF I Garden Square LLC, (iii) 64,216 OP Units held directly through DOF II - Cedar Brook, LLC and (iv) 386,398 OP Units held through DOF I - Landmark, LLC.
- [F5]The OP Units, and the common stock of the issuer for which such OP Units could potentially be redeemed, have been most recently valued by the issuer's board of directors at approximately $8.15 per share.
