The stock options will vest quarterly over three years, subject to the recipient continuously providing services to the issuer through each such date. The stock options were awarded at pricing of the issuer's initial public offering ("IPO") on October 1, 2014 with an exercise price per share equal to the initial price per share of the common stock to the public in the IPO, but were subject to forfeiture in the event that the IPO was not consummated. The IPO was consummated on October 7, 2014.
