- [F1]The stock options are subject to the terms and conditions of the VWR Corporation 2014 Equity Incentive Plan, and are unvested at the date of the grant. The stock options will vest over five years, with 40 percent vesting on the second anniversary of the grant date and five percent vesting quarterly thereafter. The stock options were awarded at pricing of the issuer's initial public offering ("IPO") on October 1, 2014 with an exercise price per share equal to the initial price per share of the common stock to the public in the IPO, but were subject to forfeiture in the event that the IPO was not consummated. The IPO was consummated on October 7, 2014.
