("Parent"), to purchase all of the issued and outstanding shares of Common Stock of the Issuer at a purchase price of $0.15 per share, net to the seller in cash without interest and less any applicable withholding taxes, pursuant to the Agreement and Plan of Merger, dated October 10, 2014, among the Issuer, Parent and Sub.
- [F2]Prior to the disposition, Special Value Opportunities Fund, LLC ("SVOF") was the registered holder of 22,265,539 shares of Common Stock, Special Value Expansion Fund, LLC ("SVEF") was the registered holder of 9,394,742 shares of Common Stock and Tennenbaum Opportunities Partners V, LP ("TOP V" and, together with SVOF and SVEF, the "Funds") was the registered holder of 35,615,213 shares of Common Stock.
