- [F1]On February 2, 2015, pursuant to an Agreement and Plan of Merger dated as of October 24, 2014 by and among Access Midstream Partners, L.P. (the "Partnership"), Access Midstream Partners GP, L.L.C., VHMS LLC, Williams Partners L.P. ("Legacy WPZ") and Williams Partners GP LLC, each of the outstanding common units representing limited partner interests in Legacy WPZ held by the Reporting Person converted into 0.86672 Common Units representing limited partner interests in the Partnership ("ACMP Common Units," and such conversion, the "Merger Exchange"). As a result of the Merger Exchange, the Partnership issued the ACMP Common Units reported on Table I to the Reporting Person. Shortly following the Merger Exchange, the Partnership changed its name to Williams Partners L.P.
