- [F1]The reporting person is a participant in the Atlas Resource Partners, L.P. (the "Partnership") 2012 Long-Term Incentive Plan (the "Plan"). In connection with the reporting person's February 23, 2015 resignation from the board of directors of the Partnership's general partner, the compensation committee of Atlas Energy, L.P., the sole member of the general partner, approved the acceleration of the reporting person's unvested phantom units, effective as of the date of resignation. Each phantom unit represents the right to receive either one common unit of limited partner interest of the Partnership or its then fair market value in cash. The reporting person elected to receive common units of the Partnership in connection with vesting.
