- [F1]Represents shares of common stock underlying restricted stock units (the "RSUs") granted on April 6, 2015 pursuant to the Issuer's Non-Employee Director Compensation Policy (the "Policy"). In accordance with the Policy, the Reporting Person is entitled to a $40,000 Annual Cash Retainer (as defined in the Policy) for the 2015 calendar year. Pursuant to the Policy, the Reporting Person's election to receive RSUs in lieu of cash for the Annual Cash Retainer took effect April 1, 2015. The Reporting Person received a pro-rata amount of the Annual Cash Retainer in cash for the first quarter of 2015, based on his election date of February 5, 2015, and the RSUs reported herein are for the remainder of the year. The total number of RSUs is a result of dividing $30,000 (representing the remaining three quarters of 2015) by the closing price of the Issuer's common stock on the date of issue.
- [F2]The RSUs vest in increments of 299 shares on each of June 30, 2015, September 30, 2015 and December 31, 2015 assuming the Reporting Person remains a member of the Board of Directors through such date. In the event the Reporting Person's service on the Board of Directors terminates (other than for cause) prior to such date, the RSUs granted shall vest pro-rata based on the portion of the relevant calendar quarter during which the Reporting Person served as a director.
