- [F1]Mr. Huntley was granted a total of 500,000 restricted stock units on January 1, 2016 in connection with 2016 board compensation, of which 300,000 restricted stock units are subject to and contingent upon receipt of stockholder approval in accordance with Sections 9 and 10 of the Issuer's Restricted Stock Plan. The Issuer intends to seek such stockholder approval at its 2016 annual stockholders' meeting. Restricted stock units reported herein do not include the 300,000 restricted stock units subject to stockholder approval. Each unit represents a contingent right to receive one share of common stock of the Issuer. The aggregate granted 500,000 restricted stock units vest in four equal installments on March 23, 2016, June 23, 2016, September 23, 2016 and December 19, 2016 (subject to the stockholder approval requirement referenced above).
