- [F1]On Nov. 9, 2015, Resolute Forest Products Inc. (the "Company") awarded 148,873 restricted stock units (each an "RSU") to the reporting person. The RSUs vest in 4 equal annual installments beginning on Nov. 9, 2016. Each RSU now represents a contingent right to receive one share of Company common stock or cash. Such award of RSUs was originally reported on Table I of Form 4 on Nov. 10, 2015, as the award provided that such RSUs would be settled only in shares of the Company's common stock. On Feb. 28, 2017, the terms of the award were amended to provide that such RSUs may also be settled in cash as necessary to ensure that the number of shares of common stock issued to the reporting person does not exceed the annual limits on the maximum number of shares that may be issued to any one participant during any one calendar-year period under the Resolute Forest Products Equity Incentive Plan. 37,219 such RSUs vested on Nov. 9, 2016, of which 19,842 were withheld in respect of taxes.
