- [F1]On November 14, 2016, Resolute Forest Products Inc. (the "Company") awarded 289,548 restricted stock units (each an "RSU") to the reporting person. The RSUs vest in 4 equal annual installments beginning on November 14, 2017. Each RSU now represents a contingent right to receive one share of Company common stock or cash. Such award of RSUs was originally reported on Table I of Form 4 on November 16, 2016, as the award provided that such RSUs would be settled only in shares of the Company's common stock. On February 28, 2017, the terms of the award were amended to provide that such RSUs may also be settled in cash as necessary to ensure that the number of shares of common stock issued to the reporting person does not exceed the annual limits on the maximum number of shares that may be issued to any one participant during any one calendar-year period under the Resolute Forest Products Equity Incentive Plan. If all such RSUs vest, not less than 89,548 of such RSUs will be settled in cash.
