The reporting person made the withholding election on March 2, 2018 with respect to restricted shares that vested on February 10, 2018, February 14, 2018 and February 22, 2018. The aggregate value of the common shares so withheld was based on the closing price of the common shares on the New York Stock Exchange on the relevant vesting date which was $0.48, $0.49 and $0.21, respectively, and did not exceed the maximum applicable withholding tax rate for federal (including FICA), state, local and other tax liabilities.
