(the "Issuer") granted the reporting person (a) 205.882 shares of the Issuer's common stock pursuant to the Issuer's director compensation and stock ownership policy (the "Policy") and (b) 205.883 shares of the Issuer's common stock in connection with the reporting person's service on a special committee of the Issuer's board of directors. Pursuant to the Policy, the Issuer's independent directors are entitled to receive an annual retainer (payable quarterly). In addition, the chairperson of each of the Issuer's independent directors committee, audit committee, and nominating and corporate governance committee and each non-chairperson member of the Issuer's audit committee are entitled to receive an annual stipend. Pursuant to the Policy, the Issuer's independent directors may elect to receive the annual retainer and stipends in the form of shares of the Issuer's common stock with a value equal to the amount of such retainer and stipends
