The awards will vest in three equal installments on the last day of each of the next three (3) fiscal years of the Company as follows: (a) one-third on February 26, 2022; (b) one-third on February 25, 2023; and (c) one-third on February 24, 2024, as long as the reporting person remains continuously employed through such date.

These performance restricted stock units are subject to the attainment of performance goals for the 2021, 2022 and 2023 fiscal years of the Company.
