Eclipse may be deemed the indirect beneficial owner of such shares, and the Reporting Person is a partner of and may be deemed to share voting and dispositive power over shares held by Eclipse. The Reporting Person disclaims beneficial ownership of such shares except to the extent of any pecuniary interest therein.
