- [F1]On March 9, 2023, the reporting person transferred 3,744 shares of common stock to a grantor trust established primarily for the benefit of his spouse and of which his spouse is the trustee. In exchange for the shares, the trust transferred assets to the reporting person with a value equal to the transferred shares. The transfer of shares to the trust resulted in a decrease in the number of shares the reporting person beneficially owns directly and a corresponding increase in the number of shares the reporting person beneficially owns indirectly through the trust. The reporting person believes that his transfer of shares to the trust constitutes a change in form of beneficial ownership of the shares, exempted by Rule 16a-13 under the Securities Exchange Act of 1934.
