Subject to the Reporting Person's continuing as a Service Provider (as defined in the Issuer's 2021 Stock Incentive Plan) through each such date, one third (1/3rd) of the RSUs shall vest annually following the Grant Date on the same day of the month as the Grant Date over three (3) years. "Grant Date" shall mean October 18, 2023.
