In accordance with the terms of the Merger Agreement, holders of shares of FCRD's common stock had their shares of FCRD common stock converted to the right to receive, in the aggregate, approximately (i) $8.6 million in cash payable by the issuer, (ii) 6,174,187 validly issued, fully paid and non-assessable shares of our common stock, and (ii) $35.0 million in cash payable by the issuer's investment adviser.
