("Merger Sub"), a wholly-owned subsidiary of Cheviot Financial Corp. ("Cheviot"), which became effective March 16, 2011 (the "Effective Date'). In accordance with the terms of the Agreement and Plan of Merger, dated October 12, 2010, among (i) Cheviot, Merger Sub and Cheviot Savings Bank and (ii) First Franklin and The Franklin Savings and Loan Company (the "Merger Agreement"), each share of First Franklin common stock held by the reporting person will be converted into the right to receive $14.50 (the "Merger Consideration") on the Effective Date.
