Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Effective June 29, 2010, Malcolm Myers resigned as President and as a member of the Board of Directors of Add-on Exchange, Inc. (the “Company”). There was no disagreement or dispute between Mr. Myers and the Company which led to his resignation.
