ITEM 3.03 Material Modifications to Rights of Security Holders

On June 3, 2010, Expedite 5, Inc., (the “Company”) issued a warrant to purchase 500,000 shares of the Company’s common stock at an exercise price of $1.00 per share (the “Warrant”) to a certain accredited investor. The Warrant had an expiration date of December 31, 2010 at 5pm eastern Standard time. On December 31, 2010, the Company agreed to extend the Warrant to January 31, 2011.
