Each share of Series B Preferred Stock was convertible into such number of shares of Common Stock equal to 0.00134% of the outstanding shares of Common Stock on a fully-diluted basis at the time of conversion. The Reporting Person has voting and investment power of the shares held by Pascack Road LLC.
