Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

Effective October 20, 2014, IC Places, Inc. (the “Company”) amended its articles of incorporation in order to change its name to “Imagination TV, Inc.” The Company also amended its articles of incorporation to recognize the reverse stock split described in Item 8.01 below.

Item 8.01 Other Events.

On October 20, 2014, the Company effectuated a one (1) for three hundred (300) reverse stock split and changed its ticker symbol to “IMTV”.
