Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On August 11, 2015, Mr. Jon Huberman notified the Board of Directors of Breitling Energy Corporation (the “Company”) that, due to new work requirements resulting from several acquisitions made by his investment firm, he has resigned from the Company’s Board of Directors effective August 14, 2015. The Company has plans to begin a search for new Board Member immediately.
