Item 5.07 Submission of Matters to a Vote of Security Holders

At the company’s annual shareholders’ meeting on June 29, 2016, with a total of 508,566 votes cast, the following actions were taken:

1) Re-election of John Strabley and Wayne Dalin to 3 year terms as directors. The voting results were as follows:

2) Ratification of LBB & Associates Ltd., LLP as the Company’s independent auditors for the year ended December 31, 2016.

Of the total votes cast, 508,111 were for ratification of LBB and 130 votes were against ratification, with 325 abstaining.

3) Non-binding vote on Shareholder Pay.

Of the total votes cast, 464,983 were for ratification of LBB and 458 votes were against ratification, with 241 abstaining. There were also 42,884 non-votes.
